Terms of Service

Effective: May 1, 2025

1. Agreement

By accessing or using OpenYP.com ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by OpenYP, LLC ("OpenYP," "we," "us," or "our").

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Your listings

You are solely responsible for the content of any listing you submit. By submitting a listing, you represent and warrant that:

  • The information is accurate and not misleading.
  • You have the right to publish the content (including any images or descriptions).
  • The listing does not infringe any third-party intellectual property, privacy, or other rights.
  • The listing does not advertise illegal products or services.

You grant OpenYP a worldwide, royalty-free license to display, distribute, and index your listing content as part of operating the Service, including via our public API.

4. Prohibited conduct

You agree not to:

  • Submit false, fraudulent, or misleading listings or information.
  • Impersonate any person, business, or entity.
  • Use the Service or API to build a competing directory or to scrape data for resale.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Use automated tools to create accounts or listings in bulk without prior written permission.
  • Transmit spam, malware, or any harmful code.
  • Harass, threaten, or abuse other users.

We reserve the right to remove any listing and suspend or terminate any account that violates these Terms, at our sole discretion and without prior notice.

5. Intellectual property

The OpenYP name, logo, and site design are the property of OpenYP, LLC. The underlying directory software and original content created by us are protected by copyright. You may not reproduce, copy, or redistribute them without our written permission. User-submitted listing content remains owned by the submitter.

6. Third-party content and links

The Service may contain links to third-party websites or resources. We do not endorse, control, or assume responsibility for any third-party content, products, or services. Use of linked third-party sites is at your own risk and subject to those sites' own terms.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. USE OF THE SERVICE IS AT YOUR OWN RISK.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPENYP, LLC AND ITS MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED ONE HUNDRED DOLLARS ($100 USD).

9. Indemnification

You agree to indemnify, defend, and hold harmless OpenYP, LLC and its members, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your listings, or your violation of these Terms.

10. Governing law & disputes

These Terms are governed by the laws of the United States and the state in which OpenYP, LLC is organized, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be noted by updating the effective date above. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
